These Terms & Conditions ("Terms") govern your access to and use of the SuckerLabs website at suckerlabs.com(the "Site"), and set out the general framework for engaging SuckerLabs ("SuckerLabs," "we," "us," or "our") for software design, product development, automation, and related professional services (the "Services").
SuckerLabs is a boutique software studio that builds products and client-specific solutions for founders and businesses. These Terms are not a substitute for a signed Statement of Work, Master Services Agreement, or other written client contract. Where a signed client agreement conflicts with these Terms on a specific engagement, the signed agreement controls for that engagement.
By browsing the Site, submitting an inquiry, or engaging our Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site or engage us.
1. Acceptance of Terms
You represent that you are at least 18 years old and have authority to bind yourself or the organization you represent. If you accept these Terms on behalf of a company, you represent that you are authorized to do so, and "you" refers to that organization.
2. Our Services
Depending on the engagement, Services may include (without limitation):
- Micro-SaaS and MVP product development
- Custom automation, APIs, and internal tools
- Web application design and engineering
- Technical strategy, architecture, and roadmapping
- Related design, integration, and shipping support
Descriptions on the Site are illustrative. Scope, deliverables, timeline, fees, and acceptance criteria for paid work are defined only in a written proposal, Statement of Work (SOW), or similar agreement accepted by both parties.
3. Website Use
You may use the Site for lawful business purposes — learning about our studio, reviewing our work, and contacting us. You agree not to:
- Scrape, crawl, or harvest Site content in bulk without our prior written consent
- Attempt to gain unauthorized access to admin areas, systems, or networks
- Interfere with Site security, performance, or availability
- Upload or transmit malware, spam, or unlawful content
- Misrepresent your identity or affiliation when contacting us
- Use Site content to train competing commercial models or datasets without permission
We may suspend or restrict access to the Site if we reasonably believe these Terms are being violated.
4. Inquiries, Proposals & No Obligation
Submitting a discovery form or scheduling a call does not create a client relationship or obligate either party to proceed. Proposals, estimates, and timelines are invitations to contract unless expressly stated as binding. A binding engagement begins only when both parties accept a written SOW, proposal, or contract (including by e-signature or clear written confirmation).
5. Client Engagements
For paid Services, the following general principles apply unless your signed agreement says otherwise:
- Scope: Work is limited to the deliverables and assumptions documented in the SOW. Out-of-scope requests may require a change order and adjusted fees or timeline.
- Client responsibilities: You will provide timely access to decision-makers, assets, credentials, feedback, and approvals needed to ship. Delays on your side may shift milestones.
- Dependencies: Third-party platforms, APIs, app-store reviews, and vendor outages outside our control may affect delivery; we will communicate impacts promptly.
- Acceptance: Deliverables are accepted when you confirm in writing or when the acceptance window in the SOW expires without documented rejection of material defects.
6. Fees, Deposits & Payment
Fees, payment schedules, and currency are set in the applicable proposal or SOW. Unless otherwise agreed:
- Projects may require an upfront deposit before work begins
- Invoices are due upon receipt or within the stated net terms
- Late amounts may accrue interest or result in pause of work after reasonable notice
- Fees exclude applicable taxes, which you are responsible for where required by law
- Deposits and fees for work already performed are non-refundable except as required by law or expressly agreed in writing
7. Intellectual Property
7.1 Site content
The Site's design, branding, copy, graphics, logos, and studio-owned materials are owned by SuckerLabs or our licensors. You may not copy, modify, or redistribute Site content for commercial purposes without our written consent, except for fair use or other rights that cannot be waived by contract.
7.2 Client deliverables
Consistent with how we work: upon full payment of all amounts due for an engagement, you own the custom code, designs, and deliverables created specifically for you under that SOW, excluding Pre-Existing Materials and third-party components.
- Pre-Existing Materials: Tools, libraries, templates, frameworks, know-how, and code we owned or licensed before the engagement (or develop outside your SOW) remain ours. We grant you a perpetual, worldwide, non-exclusive license to use those Pre-Existing Materials as embodied in your deliverables.
- Open source & third-party: Deliverables may include open-source or vendor components governed by their own licenses. You are responsible for complying with those licenses in your ongoing use.
- Portfolio license: Unless an NDA or SOW prohibits it, you grant us a non-exclusive right to display non-confidential portions of the work (name, logo, screenshots, high-level description) in our portfolio, Site, and marketing.
8. Confidentiality
Each party may receive Confidential Information from the other — including business plans, product details, credentials, and unpublished code. The receiving party will use that information only to perform the engagement, protect it with reasonable care, and not disclose it to third parties except to personnel and subprocessors who need it and are bound by confidentiality. Confidentiality obligations survive termination.
Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known without duty of confidentiality, was independently developed, or is required to be disclosed by law (with notice where legally permitted).
9. AI-Assisted Development
We may use AI-assisted tooling to accelerate drafting, coding, review, and documentation. We remain responsible for the quality of deliverables we ship under an SOW. We will not intentionally use your Confidential Information to train public third-party foundation models. You are responsible for evaluating AI-influenced outputs in your own product context, including compliance and accuracy requirements specific to your industry.
10. Warranties & Disclaimers
For paid engagements, we warrant that Services will be performed in a professional and workmanlike manner consistent with generally accepted industry practices. Exclusive remedies for breach of this warranty are re-performance of the affected Services or, if we cannot reasonably re-perform, a refund of fees paid for the non-conforming portion — as further detailed in your SOW if applicable.
THE SITE AND ANY FREE OR PUBLIC MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUCKERLABS DISCLAIMS ALL WARRANTIES NOT EXPRESSLY STATED IN A SIGNED CLIENT AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUCKERLABS AND ITS PRINCIPALS, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SITE OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW (SUCH AS FRAUD OR WILLFUL MISCONDUCT), OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US $100). FOR PAID SERVICES, OUR TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID US FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM — OR THE CAP STATED IN YOUR SIGNED AGREEMENT, IF DIFFERENT.
12. Indemnification
You agree to indemnify and hold harmless SuckerLabs from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your misuse of the Site; (b) materials, data, or instructions you provide that infringe third-party rights or violate law; or (c) your product's end users, pricing, marketing, or regulatory obligations after delivery, except to the extent caused by our willful misconduct.
13. Third-Party Services
The Site and our deliverables may integrate with or depend on third-party services (hosting, payments, auth, analytics, AI APIs, app stores, and similar). Those services are governed by their own terms. We are not responsible for third-party outages, policy changes, pricing, or data practices outside our control.
14. Term, Suspension & Termination
These Terms apply while you use the Site. For Services, the term is set in the applicable SOW. Either party may terminate an engagement as provided in the signed agreement (for example, for material breach uncured after notice). We may suspend work for non-payment after notice. Upon termination, you remain responsible for fees for work performed through the effective date, and Sections that by nature should survive (including IP, confidentiality, limitation of liability, and governing law) will survive.
15. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Site or contacting us, you acknowledge that policy.
16. Changes to These Terms
We may update these Terms from time to time by posting a revised version on this page and updating the "Last updated" date. Material changes apply prospectively. Continued use of the Site after changes become effective constitutes acceptance. Changes to an active paid engagement require mutual written agreement unless the signed contract says otherwise.
17. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Exclusive jurisdiction and venue for disputes arising from the Site or these Terms lie in the state or federal courts located in Delaware, except that we may seek injunctive relief in any jurisdiction to protect intellectual property or Confidential Information. If your signed client agreement specifies a different governing law or dispute process, that agreement controls for the engagement.
18. General
- Entire agreement: These Terms plus the Privacy Policy and any signed SOW/MSA constitute the entire agreement on their subject matter and supersede prior website terms for Site use.
- Severability: If a provision is unenforceable, the remainder stays in effect.
- Waiver: Failure to enforce a provision is not a waiver of future enforcement.
- Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or successor in connection with a corporate transaction.
- Force majeure: Neither party is liable for delays caused by events beyond reasonable control.
- Notices: Legal notices to SuckerLabs should be sent to the contact below (and to any address in your SOW).
